Acceptance of These Terms

By accessing or using the Bijjou Ads website, you agree to these Terms of Service to the extent they apply to your use of the website.

If you engage Bijjou Ads for professional services, these Terms may also form part of the agreement between you and Bijjou Ads together with any applicable proposal, statement of work, service agreement, order form, invoice, or other written project terms.

If you are acting on behalf of a company or other organization, you represent that you have authority to act for and bind that organization where applicable.

You must be at least 18 years old or otherwise legally capable of entering into a binding agreement to purchase our services.

IMPORTANT

Submitting a contact form or requesting information does not by itself create a client relationship or require either party to proceed with a project.

02

Who We Are

Bijjou Ads is a digital marketing brand operated by Bijjou LLC, a Wyoming limited liability company.

In these Terms, “Bijjou Ads,” “Bijjou LLC,” “we,” “us,” and “our” refer to Bijjou LLC when operating the Bijjou Ads business.

“Client,” “you,” and “your” refer to the individual, company, or organization using our website or purchasing our services.

03

Our Services

Bijjou Ads provides digital marketing and related professional services, which may include:

  • Paid advertising and campaign management.
  • Social media marketing.
  • Content creation and creative services.
  • Search engine optimization.
  • AI search visibility and Generative Engine Optimization-related services.
  • Website design and development.
  • Marketing strategy and consulting.

The exact services included in a client project are determined by the applicable written proposal, statement of work, service agreement, invoice, or other project documentation.

Information on our website describes our general capabilities and does not mean that every service, feature, deliverable, or outcome is included in every engagement.

You can review our current service categories on our Services page .

04

Proposals, Scope, and Project Agreements

Before paid work begins, we may provide a proposal, statement of work, service agreement, invoice, or similar document describing the project.

Project documentation may specify:

  • The services and deliverables included.
  • The expected project schedule or service period.
  • The client's responsibilities and required materials.
  • Fees, billing schedule, and currency.
  • Any required deposit or advance payment.
  • Revision limits or approval procedures.
  • Third-party costs or advertising budgets.
  • Project-specific cancellation or termination requirements.

If a signed or otherwise accepted project-specific agreement conflicts with these Terms regarding that project, the project-specific agreement will control to the extent of that conflict.

Work outside the agreed scope may require a separate estimate, change order, or written approval before we proceed.

05

Client Responsibilities

Successful marketing projects require accurate information, timely communication, and reasonable cooperation from both parties.

You are responsible for:

  • Providing accurate and complete information about your business, products, services, audience, and goals.
  • Providing requested access to relevant accounts, platforms, websites, analytics, advertising accounts, or other systems when required for the agreed services.
  • Keeping account credentials and administrative access reasonably secure.
  • Providing feedback, approvals, content, assets, and other materials within a reasonable timeframe.
  • Ensuring that information and claims you provide to us are accurate and lawful.
  • Ensuring that you have the necessary rights, permissions, and licenses for materials you provide to us.
  • Complying with laws, industry rules, advertising requirements, and platform policies applicable to your business.

Delays in providing required information, feedback, approvals, access, or materials may affect project timelines and performance.

06

Fees, Payments, and Billing

Service fees, payment schedules, and the applicable currency will be clearly stated in the relevant proposal, service agreement, invoice, checkout, or other payment request.

Depending on the engagement, we may require a deposit, advance payment, milestone payment, recurring service fee, or payment upon completion.

We will not introduce recurring billing or automatic renewal unless it is disclosed and agreed before the recurring charge begins.

If an invoice becomes overdue, we may, after reasonable notice and subject to applicable law and the project agreement:

  • Pause ongoing work.
  • Delay delivery of unfinished work.
  • Suspend ongoing services until the outstanding balance is resolved.

Unless otherwise stated, each party is responsible for its own taxes. You are responsible for any transaction, sales, use, VAT, or similar taxes legally imposed on your purchase, except taxes imposed directly on Bijjou LLC's income.

Payment processors

If payments are processed through a third-party payment processor, that processor may collect and process payment information under its own terms and privacy practices.

Bijjou Ads does not require clients to send complete payment-card details through our contact form or ordinary email.

07

Advertising Spend and Third-Party Costs

Unless a written project agreement expressly states otherwise, our professional service fees do not automatically include amounts charged by third parties.

Third-party costs may include:

  • Advertising media spend.
  • Domain registration.
  • Website hosting.
  • Premium software or plugin licenses.
  • Stock media or licensed assets.
  • Email, analytics, or marketing tools.
  • Other platform or technology fees required by the project.

Any material third-party expense that we expect the client to pay should be identified or approved as part of the project process.

For paid advertising engagements, advertising budget is normally separate from Bijjou Ads management fees unless explicitly stated otherwise.

08

Marketing Performance and Results

Marketing performance depends on many factors outside the direct control of Bijjou Ads.

These factors may include:

  • Market demand and competition.
  • The client's pricing and offer.
  • Product or service quality.
  • Website or sales-process performance.
  • Advertising budget.
  • Audience behavior.
  • Economic and seasonal conditions.
  • Third-party algorithms and platform changes.
  • Platform policies, account status, and advertising approvals.

Accordingly, unless expressly stated in a separate written agreement, Bijjou Ads does not guarantee a specific number of leads, sales, revenue, profit, return on advertising spend, conversion rate, followers, impressions, or other business result.

Performance projections, benchmarks, estimates, forecasts, or strategic recommendations are professional judgments based on available information and are not guarantees of future results.

09

SEO, GEO, and AI Search Visibility

Search engines, AI assistants, generative search systems, and other discovery platforms independently control their algorithms, rankings, citations, generated answers, and recommendations.

Our SEO and Generative Engine Optimization work may include improving website structure, content quality, relevance, technical accessibility, authority signals, entity clarity, and other factors that may improve discoverability.

However:

  • We do not guarantee a specific search-engine ranking.
  • We do not guarantee inclusion in an AI-generated answer.
  • We do not guarantee that an AI system will cite, mention, or recommend a particular business.
  • We do not control when or how search or AI platforms change their systems.

Any references to improved visibility describe an optimization objective, not a guaranteed placement.

10

Website Development and Content Services

Website, design, development, creative, and content deliverables will be defined by the relevant project scope.

Website projects

Website performance and functionality may depend on third-party infrastructure such as hosting providers, domain registrars, content-management systems, plugins, APIs, browsers, payment processors, or external integrations.

Unless ongoing maintenance is included in writing, completion of a website project does not automatically include indefinite maintenance, future updates, hosting management, security monitoring, or compatibility work after delivery.

Content and creative work

Clients are responsible for reviewing and approving business claims, pricing, product information, regulated statements, promotions, and other factual information before publication where client approval is part of the agreed process.

We may refuse to create or publish material that we reasonably believe is unlawful, deceptive, infringing, or contrary to applicable platform policies.

11

Client Approvals, Revisions, and Changes

Certain projects may require client approval before campaigns, content, designs, websites, advertisements, or other materials are published.

When you approve a deliverable, you confirm that you have reviewed it and authorize us to proceed based on that approval, subject to any project-specific terms.

Revision limits, if any, will be defined in the applicable project agreement.

Requests that materially change the original scope, direction, deliverables, or requirements may require additional time and fees.

12

Intellectual Property

Client materials

You retain ownership of materials, trademarks, logos, data, content, credentials, and intellectual property that you provide to Bijjou Ads.

You grant us a limited right to use those materials only as reasonably necessary to provide the agreed services.

Bijjou Ads materials

Bijjou Ads retains ownership of pre-existing materials, methodologies, internal processes, templates, systems, know-how, reusable code, tools, and other intellectual property developed independently of a particular client's custom deliverables.

Custom deliverables

Ownership or license rights for custom deliverables will be determined by the relevant project agreement.

Unless otherwise agreed in writing, any transfer of ownership in custom deliverables is conditioned on full payment of all amounts due for those deliverables.

Public portfolio use

We will not knowingly disclose confidential client information as a public case study.

If Bijjou Ads wishes to publicly use a client's name, logo, confidential performance data, testimonial, or non-public project details for marketing or portfolio purposes, we will rely on client authorization or applicable written project terms.

13

Confidentiality

During a project, either party may receive non-public business, technical, commercial, financial, marketing, or strategic information from the other party.

Each party should use reasonable care to protect confidential information and should use it only for purposes related to the business relationship, unless disclosure is authorized or required by law.

Information generally will not be considered confidential if it:

  • Is already publicly available through no breach of an obligation.
  • Was lawfully known by the receiving party before disclosure.
  • Is independently developed without use of confidential information.
  • Is lawfully received from another source without confidentiality restrictions.

If a project requires more specific confidentiality protections, the parties may enter into a separate non-disclosure agreement.

14

Cancellations, Refunds, and Payment Disputes

Because Bijjou Ads provides customized professional services, cancellation and refund eligibility may depend on the project stage, work already performed, third-party costs already incurred, and the applicable project agreement.

Specific rules concerning cancellations, refunds, and related requests are described in our Refund & Cancellation Policy and may also be supplemented by project-specific terms.

If you believe a payment or invoice is incorrect, please contact us promptly at contact@bijjouads.com so we can review the issue.

Nothing in these Terms eliminates any payment-dispute, chargeback, refund, or consumer right that cannot lawfully be waived under applicable law or card-network rules.

15

Third-Party Platforms and Services

Our work may involve third-party services such as advertising platforms, social networks, search engines, AI services, analytics providers, website platforms, hosting providers, email systems, payment processors, and other technology services.

Those services are operated independently and may change their:

  • Features.
  • Algorithms.
  • Prices.
  • Technical requirements.
  • Advertising policies.
  • Terms of service.
  • Account eligibility requirements.

Bijjou Ads cannot guarantee uninterrupted availability of a third-party service or prevent a third party from rejecting advertisements, changing algorithms, restricting an account, suspending a service, or modifying its policies.

Clients must comply with the applicable terms and policies of third-party platforms used for their projects.

16

Acceptable and Lawful Use

You may not use Bijjou Ads services to knowingly facilitate unlawful, fraudulent, deceptive, abusive, infringing, or prohibited activity.

We may decline or discontinue work that we reasonably believe:

  • Violates applicable law.
  • Infringes third-party intellectual property or privacy rights.
  • Contains materially false or deceptive claims.
  • Violates relevant advertising or platform policies.
  • Would expose Bijjou Ads or a service provider to material legal or regulatory risk.

Clients remain responsible for the legality of their own businesses, products, services, offers, claims, and regulated activities.

Where applicable, both parties must also comply with relevant sanctions, export controls, trade restrictions, and other mandatory legal requirements.

17

Professional Service Disclaimers

Bijjou Ads provides digital marketing, creative, strategic, and technical services. Unless explicitly agreed otherwise in writing, our services do not constitute legal, tax, accounting, investment, financial, or other regulated professional advice.

Our website and general educational materials are provided for informational purposes and do not create a professional advisory relationship outside the services specifically agreed with a client.

To the fullest extent permitted by law, services are provided without warranties of guaranteed commercial performance, uninterrupted third-party platform availability, or specific marketing outcomes.

18

Limitation of Liability

To the fullest extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the services, including lost profits or lost business opportunities, when such damages are legally excludable.

Except where applicable law prohibits such a limitation, Bijjou Ads' aggregate liability arising from a specific paid engagement will not exceed the amount paid to Bijjou Ads for the services giving rise to the claim during the three months immediately preceding the event giving rise to the claim, unless the applicable project agreement states a different liability limit.

These limitations do not apply to liability that cannot legally be excluded or limited.

19

Indemnification

To the extent permitted by applicable law, you agree to be responsible for third-party claims, losses, liabilities, or reasonable costs arising from:

  • Materials or instructions supplied by you that infringe another person's rights.
  • False, unlawful, or misleading claims supplied or specifically required by you.
  • Your unlawful use of our services or deliverables.
  • Your material violation of these Terms or applicable law.

This section does not require a client to indemnify Bijjou Ads for claims caused solely by Bijjou Ads' own unlawful conduct where such liability cannot legally be shifted.

20

Suspension and Termination

A project or ongoing service may be suspended or terminated in accordance with the applicable project agreement or cancellation terms.

We may also suspend or terminate work after reasonable notice where appropriate if:

  • Required payments remain materially overdue.
  • The client repeatedly fails to provide information or access necessary to perform the services.
  • Continuing the project would violate law or applicable platform rules.
  • We reasonably identify fraud, abuse, serious security risk, or unlawful activity.
  • There is another material breach of the applicable agreement that is not resolved when reasonably capable of being corrected.

Termination does not eliminate obligations that arose before termination, including valid payment obligations for completed work or non-refundable third-party costs.

21

Events Beyond Our Reasonable Control

Neither party will be responsible for delays or failures caused by events beyond its reasonable control, to the extent permitted by law.

Such events may include major internet or infrastructure outages, widespread cloud-service failures, natural disasters, war, civil disturbances, government actions, labor disruptions, major cybersecurity incidents, or unexpected failures of critical third-party systems.

The affected party should make reasonable efforts to reduce the impact and resume performance when reasonably possible.

22

Governing Law and Disputes

Unless a project-specific written agreement states otherwise, these Terms and any dispute arising directly from them will be governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

Before starting formal legal proceedings, the parties should first make a good-faith effort to resolve the dispute through direct communication.

Subject to any mandatory law that applies and cannot be waived, disputes that cannot be resolved informally may be brought before courts with appropriate jurisdiction in Wyoming, unless the applicable project agreement provides another lawful dispute process.

Nothing in this section removes any mandatory right or remedy that applicable law does not permit the parties to waive.

23

Changes to These Terms

We may update these Terms from time to time as our services, technology, business practices, or legal obligations change.

When we update these Terms, we will change the effective date displayed at the top of this page.

Changes will apply prospectively unless applicable law or a written agreement requires otherwise.

A material change to these website Terms will not automatically rewrite the commercial terms of an already signed project agreement unless the parties validly agree to that change.

24

General Terms

Entire agreement

For a paid project, these Terms together with the applicable accepted project documentation form the agreement concerning the matters they cover.

Severability

If a provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

No waiver

A failure or delay in enforcing a right does not automatically waive that right.

Assignment

Neither party should transfer a material project agreement to another party in a manner that materially changes the other party's rights without appropriate consent, except as permitted by law or the applicable written agreement.

Electronic communications

The parties may communicate and approve routine project matters electronically, including through email and other agreed business communication channels.

Privacy

Our handling of personal information submitted through the website is described in our Privacy Policy .
